I was getting this every other time I ran an external tool. Then I got it when installing a new licence key, but this time an extra error box stating it couldn't open C:\Program Files\TextPad 4\System\Text.syn.
Yes, it was looking for the syntax file in the version 4 folder. I can't find any settings that still refer to the version 4 folder, but copying Text.syn from the version 5 folder into the version 4 folder gets around the problem, and now it doesn't crash.

after upgrade 4.7 to TextPad 5 (5.0.3) , whenever I started TP5.
To fix:
Click Configure > Preferences > Folders
Change the location for "Syntax" from:
C:\documents and settings\username\Application Data\Helios\TextPad\5.0
to
C:\Program Files\TextPad 5\system
and OK
